Data Processing Agreement
This Data Processing Agreement outlines the terms under which Kings AI Automation may access, handle, and process client data during the delivery of automation and technical services. Client data may be accessed only where strictly necessary for purposes such as troubleshooting, error testing, diagnostics, validation, or similar technical tasks required to deliver the agreed services. All data accessed is treated as strictly confidential and is not retained, stored, or reused once the relevant task is completed. No client data is copied, extracted, or stored outside of the client’s systems unless explicitly authorised in writing. By engaging Kings AI Automation, the client acknowledges and consents to this limited and temporary access to their data.
Maintenance Disclaimer
Maintenance services are intended to ensure the ongoing stability, reliability, and performance of the delivered workflows. Maintenance includes bug fixes, defined as the correction of errors or faults within existing functionality; small tweaks, being minor adjustments to configuration, layout, logic, or parameters that do not alter the core functionality; updates to ensure compatibility with platform, API, or system changes; dependency changes involving updates or replacements of third-party libraries or integrations; monitoring of system health and automation performance; and basic security checks to identify common vulnerabilities or failures. Maintenance services do not include the development of new features, the creation of new workflows, or major scope changes. New features refer to entirely new capabilities not included in the original scope. New workflows refer to additional automations or processes not previously delivered. Major scope changes include substantial expansions, redesigns, or re-architecting beyond the originally agreed deliverables. Any such work will be scoped and quoted separately.
Response Time Expectations
Critical issues, defined as complete outages or failures that prevent core functionality from operating, will receive an initial response within two (2) hours during business hours. Minor requests or non-critical issues will typically receive a response within three (3) business days.
Ownership & Intellectual Property
Ownership of the delivered workflow transfers to the client only once full payment has been received. Until payment is complete, all deliverables remain the property of Kings AI Automation. Kings AI Automation retains the right to reuse, adapt, or repurpose generic components, frameworks, patterns, sub-workflows, or templates developed during the engagement, provided they are not specific to the client’s proprietary business logic or data.
Exit & Handover Terms
Should the client choose to transition to another service provider, Kings AI Automation will, upon request, provide reasonable assistance to facilitate a smooth handover. This may include documentation, configuration explanations, and coordination with the incoming provider to minimise disruption. Handover support is limited to existing deliverables and does not include redevelopment or enhancement work unless agreed separately. If the client elects to terminate services partway through a prepaid billing month, the remaining value of that month is forfeited and no pro-rata refunds will be issued.
